Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and M-Ecom K.K. ("M-Ecom", "we", "our", or "us") governing your access to and use of the website at m-ecom.com (the "Site") and any services offered by M-Ecom (the "Services").

By accessing our Site or engaging our Services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you do not agree, please discontinue use immediately.

M-Ecom provides professional consulting and technology services in the following areas:

• e-Commerce Consulting: Strategic advisory, market entry, operational optimization, and revenue growth consulting for e-commerce businesses.
• Marketing Consulting: Performance marketing strategy, campaign management, and growth advisory across digital advertising channels.
• Payment Solutions: Payment gateway consulting, orchestration strategy, risk management, and implementation advisory.
• AI Commerce Studio: Design and development of AI-powered online stores, sales funnels, and digital commerce experiences.

The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate Statement of Work or Service Agreement executed between M-Ecom and the client.

You agree to use the Site solely for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable local, national, or international laws or regulations
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of the Site or its related systems
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Use any automated means, including bots or scrapers, to access or collect data from the Site
• Introduce any viruses, trojans, or other harmful material
• Reproduce, duplicate, copy, or exploit any portion of the Site without our written permission

All content on the Site — including but not limited to text, graphics, logos, icons, images, and software — is the exclusive property of M-Ecom K.K. or its content suppliers and is protected by Japanese and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and view the Site for personal, non-commercial use. No other rights are granted. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

Work product, deliverables, and materials created specifically for a client engagement are governed by the terms of the applicable Service Agreement, which shall take precedence over these Terms.

In the course of providing Services, M-Ecom may receive access to confidential information belonging to clients. We treat all such information with strict confidentiality and do not disclose it to third parties without explicit written consent, except as required by law.

Clients may also be exposed to M-Ecom's proprietary methodologies, frameworks, and processes. These remain the exclusive intellectual property of M-Ecom and may not be reproduced or commercialized without our consent.

Fees for Services are established in the applicable Statement of Work or Service Agreement. Unless otherwise specified:

• Invoices are due within 14 days of issuance
• Late payments may incur interest at 1.5% per month or the maximum permitted by law
• M-Ecom reserves the right to suspend Services in the event of non-payment
• All fees are quoted exclusive of applicable taxes unless stated otherwise

The Site and its content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

M-Ecom does not warrant that the Site will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or timeliness of any content on the Site.

Business outcomes and results from our consulting engagements depend on numerous factors outside our control. M-Ecom does not guarantee specific business results, revenue growth, or return on investment.

To the fullest extent permitted by applicable law, M-Ecom K.K. and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising from:

• Your use of or inability to use the Site or Services
• Any content obtained from the Site
• Unauthorized access to or alteration of your data
• Any third-party conduct on or through the Site

In no event shall M-Ecom's total liability to you exceed the greater of (a) the amounts paid by you to M-Ecom in the 3 months prior to the claim, or (b) JPY 50,000.

You agree to indemnify, defend, and hold harmless M-Ecom K.K. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising from your violation of these Terms, your use of the Site, or your infringement of any third-party rights.

The Site may contain links to third-party websites or services. M-Ecom has no control over such third parties and accepts no responsibility for their content, privacy practices, or terms of use. Inclusion of any link does not constitute endorsement.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection and use of information as described therein.

M-Ecom reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

M-Ecom reserves the right to suspend or terminate your access to the Site and Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, M-Ecom, third parties, or the public. For ongoing service engagements, termination rights are governed by the applicable Service Agreement.

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the Tokyo District Court.

Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

These Terms, together with our Privacy Policy and any executed Service Agreements, constitute the entire agreement between you and M-Ecom regarding the subject matter herein and supersede all prior agreements, communications, and understandings.
